VEZILL TERMS AND CONDITIONS

Welcome to VEZILL.

These Terms and Conditions ("Terms") govern your access to and use of Vezill.com, including its marketplace, digital products, creator and seller services, reseller features, accounts, payment functionality, content, tools and related services (collectively, the "Platform").

By accessing, registering with, purchasing from, selling through, uploading content to, or otherwise using VEZILL, you agree to these Terms.

If you do not agree with these Terms, you should not use the Platform.

These Terms should be read together with our Privacy Policy, Refund Policy, Copyright Policy, Earnings Disclaimer, Anti-Spam Policy, Social Media Disclosure and any additional policies or licence terms displayed on VEZILL.

1. ABOUT VEZILL

VEZILL is a digital knowledge and commerce platform designed to help people:

Learn → Apply → Create → Share → Sell → Grow

The Platform enables users to discover, access, purchase, create, publish, market and sell digital knowledge products and other permitted digital products.

Products available through VEZILL may include:

• ebooks and guides;

• courses and micro-courses;

• tutorials and educational videos;

• templates and digital resources;

• software and applications;

• prompts and AI-related resources;

• business and productivity tools;

• audio and multimedia content;

• downloadable files; and

• other approved digital products.

Some products may also include resale, commercial-use, Private Label Rights (PLR), Master Resell Rights (MRR), or other licence rights, where expressly stated in the relevant product listing or licence.

VEZILL may provide the technology, marketplace infrastructure, payment functionality, product delivery systems, promotional tools and other services that facilitate transactions between users.

Unless expressly stated otherwise, products offered by independent Creators or Sellers remain the responsibility of those Creators or Sellers.

2. DEFINITIONS

For purposes of these Terms:

"VEZILL," "we," "us," or "our" means the operator of Vezill.com and its associated services.

"User" means any person who visits, accesses or uses VEZILL.

"Buyer" means a User who purchases or otherwise obtains a digital product through VEZILL.

"Creator" means a person or organisation that creates and uploads original or lawfully licensed content or digital products to VEZILL.

"Seller" means a User authorised to offer digital products for sale through VEZILL.

"Reseller" means a User who has lawfully acquired resale rights to a product and offers that product for resale in accordance with its licence.

"Digital Product" means electronically supplied content, software, educational material, downloadable content or another digital item available through VEZILL.

"Licence" means the permissions governing how a Buyer, Seller or Reseller may use a Digital Product.

"MRR" or "Master Resell Rights" means a licence that permits resale of a Digital Product subject to the specific terms attached to that product.

3. ELIGIBILITY

You must be legally capable of entering into a binding agreement to create an account or conduct transactions through VEZILL.

Unless otherwise permitted by applicable law or expressly approved by VEZILL, Users who create Seller or Creator accounts must be at least 18 years old.

By creating an account, you represent that:

• the information you provide is accurate and current;

• you have legal capacity to enter into these Terms;

• you will comply with applicable laws;

• you will not use VEZILL for unlawful purposes; and

• where you act for an organisation, you have authority to bind that organisation.

VEZILL may request reasonable information or documentation to verify identity, age, ownership, payment details or business information where necessary for security, fraud prevention, regulatory compliance or payment processing.

4. USER ACCOUNTS

Certain Platform features require an account.

You are responsible for:

• maintaining accurate account information;

• protecting your password and authentication credentials;

• maintaining control of your account;

• promptly reporting suspected unauthorised access; and

• activities conducted through your account where reasonably attributable to you.

You must not:

• impersonate another person;

• create accounts using false or misleading information;

• sell or transfer accounts without permission;

• use another person's payment information without authorisation; or

• use multiple accounts to evade restrictions or enforcement actions.

VEZILL may temporarily restrict an account where reasonably necessary to investigate suspected fraud, security breaches, infringement, illegal activity or violations of these Terms.

5. VEZILL'S ROLE AS A MARKETPLACE

VEZILL operates a platform through which independent Creators, Sellers and Resellers may offer Digital Products to Buyers.

Depending on the particular transaction, VEZILL may provide:

• marketplace infrastructure;

• product hosting;

• digital delivery;

• payment processing or payment facilitation;

• account management;

• seller tools;

• promotional functionality;

• search and discovery;

• transaction records; and

• customer-support mechanisms.

Unless VEZILL is expressly identified as the seller of a particular product, the relevant Creator or Seller is responsible for the product, including the accuracy of its description, ownership or licensing rights, quality and compliance with applicable law.

Nothing in these Terms removes any responsibility or obligation that applicable law places directly upon VEZILL.

6. CREATORS AND SELLERS

Creators and Sellers may offer approved Digital Products through VEZILL.

By uploading or listing a product, you represent and warrant that:

1. you created the product or possess sufficient rights and licences to sell it;

2. the product does not unlawfully infringe copyright, trademark, privacy, publicity or other rights;

3. the product description is materially accurate;

4. any earnings, performance or outcome claims are truthful and appropriately qualified;

5. the product complies with applicable laws;

6. any resale rights offered with the product are genuine and accurately described; and

7. you have authority to grant every licence you advertise.

Creators and Sellers remain responsible for ensuring their products comply with these requirements.

7. PRODUCT LISTINGS AND TRANSPARENCY

Product listings should provide Buyers with sufficient information to understand what they are purchasing.

Where applicable, listings should identify:

• the product title;

• product description;

• format;

• principal features;

• price;

• applicable licence;

• compatibility or technical requirements;

• access or download method;

• material restrictions;

• resale rights, if any; and

• other information required by applicable law.

Sellers must not intentionally create false, deceptive or materially misleading listings.

VEZILL may edit, restrict, request clarification of, suspend or remove listings that violate these Terms or applicable law.

8. DIGITAL PRODUCT LICENCES

Purchasing a Digital Product does not automatically transfer copyright or intellectual-property ownership.

A Buyer receives only the rights provided by the licence associated with the product.

Products may be offered under licences including:

Personal Use Rights

The Buyer may use the product personally but may not resell or redistribute it.

Commercial Use Rights

The Buyer may use the product for permitted commercial purposes subject to its licence.

Resell Rights

The Buyer may resell the product subject to stated restrictions.

Master Resell Rights (MRR)

The Buyer may receive rights to resell the product and, where expressly authorised, pass specified resale rights to subsequent purchasers.

Private Label Rights (PLR)

Certain products may permit modification, rebranding or redistribution subject to the applicable PLR licence.

The licence displayed with the individual product controls what the purchaser may and may not do with that product.

Users should review licence terms before purchasing or reselling any product.

9. MASTER RESELL RIGHTS AND RESALE

VEZILL supports lawful digital-product resale where a product includes appropriate resale rights.

A User may resell a product only where:

• the product licence expressly permits resale;

• the User lawfully obtained those rights;

• resale complies with the applicable licence;

• required creator attribution or restrictions are respected; and

• the product is not modified where modification is prohibited.

Possession of a digital file alone does not establish resale rights.

VEZILL may require evidence demonstrating the right to sell or resell a product.

Unauthorised resale may result in product removal, suspension of selling privileges, withholding of disputed transactions where legally permissible, account termination and/or referral of the matter to relevant rights holders or authorities.

10. CREATOR ROYALTIES, SELLER EARNINGS AND PLATFORM FEES

VEZILL may operate revenue-sharing, commission, royalty or reseller arrangements.

The amount payable to a Creator, Seller or Reseller will be determined by the applicable product, programme, licence, transaction terms or commission structure displayed on the Platform.

Where VEZILL advertises that Sellers or Resellers may receive up to a specified percentage of a sale, such percentage represents the maximum applicable under qualifying transactions and does not guarantee that every transaction will produce that percentage.

Amounts may be affected by:

• platform fees;

• payment-processing fees;

• taxes;

• currency conversion;

• refunds;

• chargebacks;

• promotional discounts;

• affiliate or referral commissions;

• creator royalties; and

• other disclosed transaction adjustments.

VEZILL does not guarantee any level of income, sales or profitability.

11. PAYMENTS

Payments may be processed by VEZILL or authorised third-party payment providers.

By making a purchase, you authorise the applicable payment provider to charge the payment method you select.

Users are responsible for providing valid payment information and ensuring that they are authorised to use the selected payment method.

Prices may be displayed in different currencies for convenience.

Currency conversions, foreign transaction fees and payment-provider charges may apply depending upon the payment method and jurisdiction.

VEZILL may delay, review or restrict transactions where reasonably necessary to address:

• suspected fraud;

• chargebacks;

• payment disputes;

• security concerns;

• sanctions or regulatory requirements;

• suspected infringement; or

• violations of these Terms.

12. TAXES

Users are responsible for taxes legally applicable to their activities, income or transactions except where applicable law requires VEZILL or a payment provider to collect, deduct, report or remit such taxes.

Creators and Sellers are responsible for determining their own tax obligations arising from income earned through VEZILL.

VEZILL may collect or withhold taxes where required by applicable law.

13. DIGITAL DELIVERY

Digital Products may be delivered through:

• downloads;

• account access;

• email;

• streaming;

• external authorised access;

• software activation; or

• another electronic delivery method.

Buyers are responsible for ensuring that their devices, software and internet connection meet applicable technical requirements disclosed before purchase.

If a purchased product cannot be accessed because of a technical issue attributable to VEZILL, the Buyer should contact support so that reasonable steps can be taken to restore access or provide another remedy required by applicable law.

14. REFUNDS, CANCELLATIONS AND DIGITAL CONTENT

Because many products on VEZILL are supplied digitally and may become immediately accessible, refund and cancellation rules may differ from those applicable to physical goods.

Refund eligibility may depend on:

• whether the product has already been downloaded or accessed;

• whether digital performance has begun with the Buyer's consent;

• whether the product is defective;

• whether the product materially differs from its description;

• whether duplicate or unauthorised payment occurred;

• the applicable Seller or product refund conditions; and

• mandatory consumer rights under applicable law.

Nothing in these Terms removes any refund, cancellation, conformity or other consumer right that cannot legally be excluded.

Where applicable law requires express consent before immediate digital delivery results in loss of a statutory withdrawal right, VEZILL or the Seller should obtain that consent and acknowledgement before delivery.

Refund requests involving fraud, duplicate charges, inaccessible products or materially misrepresented products may be investigated.

Users should consult VEZILL's Refund Policy for further information.

15. CHARGEBACKS AND PAYMENT DISPUTES

Buyers should contact VEZILL support before initiating a payment chargeback where reasonably possible so that the issue can be investigated.

Fraudulent or abusive chargebacks are prohibited.

VEZILL may investigate chargebacks and provide transaction records, delivery evidence and other relevant information to payment providers as permitted by law.

Legitimate rights to dispute unauthorised or improper transactions are not restricted by this provision.

16. INTELLECTUAL PROPERTY

VEZILL's website design, branding, trademarks, logos, platform software and original Platform content are protected by applicable intellectual-property laws.

Except where expressly permitted, Users may not:

• reproduce;

• scrape;

• copy;

• distribute;

• reverse engineer;

• commercially exploit; or

• create derivative works from

VEZILL proprietary material without authorisation.

Digital Products created by independent Creators remain subject to the intellectual-property ownership and licences applicable to those products.

17. LICENCE GRANTED TO VEZILL BY CREATORS

Creators retain ownership of their content unless they expressly transfer those rights.

By uploading content to VEZILL, a Creator grants VEZILL a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, distribute and promote that content to the extent reasonably necessary to:

• operate the Platform;

• display product listings;

• deliver purchased products;

• advertise or promote the product or VEZILL marketplace;

• provide previews or thumbnails;

• maintain backups; and

• provide related Platform functionality.

This licence does not transfer ownership of the Creator's copyright to VEZILL.

The licence generally ends when the content is permanently removed, except where continued processing is reasonably required for completed transactions, backups, legal compliance, dispute resolution or licences already granted to purchasers.

18. AI-GENERATED AND AI-ASSISTED CONTENT

VEZILL may permit Digital Products created or enhanced using artificial intelligence.

Users submitting AI-generated or AI-assisted content are responsible for ensuring that:

• they have sufficient rights to commercialise the content;

• the content does not unlawfully infringe third-party rights;

• it does not intentionally impersonate another person deceptively;

• it does not contain unlawful or misleading material;

• material factual claims are appropriately reviewed; and

• any disclosure required by applicable law is provided.

The use of AI does not remove a Creator's responsibility for the product uploaded or sold.

VEZILL may label, restrict or remove AI-generated content where reasonably necessary for transparency, quality, safety or legal compliance.

19. PROHIBITED PRODUCTS AND ACTIVITIES

Users may not use VEZILL to distribute, promote or sell unlawful or prohibited content.

This includes, where prohibited by applicable law or VEZILL policy:

• pirated or stolen digital products;

• products that unlawfully infringe intellectual-property rights;

• malware, spyware, ransomware or malicious code;

• stolen credentials or personal information;

• fraudulent financial schemes;

• deceptive get-rich-quick schemes;

• illegal investment schemes;

• pyramid schemes;

• unlawful hacking tools or instructions intended to facilitate cybercrime;

• content facilitating criminal activity;

• child sexual abuse or exploitation material;

• non-consensual intimate material;

• unlawful hate or extremist material;

• products that intentionally facilitate violence or serious harm;

• counterfeit licences;

• products containing materially false or deceptive claims; or

• any other material prohibited by applicable law.

VEZILL may remove products or restrict accounts where it reasonably believes these rules have been violated.

20. ACCEPTABLE USE

Users must not:

• interfere with Platform security;

• introduce malicious code;

• scrape or harvest user data without authorisation;

• manipulate ratings, reviews, transactions or search results;

• artificially generate sales or commissions;

• conduct fraudulent transactions;

• impersonate another person or organisation;

• evade account restrictions;

• spam other Users;

• use automated systems in a manner that materially disrupts the Platform;

• violate another person's privacy; or

• use VEZILL for illegal purposes.

21. REVIEWS AND USER CONTENT

Users may be permitted to publish reviews, comments or other content.

Such content must reflect genuine experiences and must not be fraudulent, defamatory, abusive, unlawful or intentionally misleading.

VEZILL may moderate or remove content that violates these Terms, while seeking to preserve legitimate opinions and consumer feedback.

Submitting a review or other public content grants VEZILL a non-exclusive licence to display and use it for operating and promoting the Platform, subject to applicable privacy and consumer-protection laws.

22. COPYRIGHT AND INTELLECTUAL-PROPERTY COMPLAINTS

VEZILL respects intellectual-property rights.

A rights holder who believes material available through VEZILL infringes their copyright, trademark or other rights may submit a complaint containing sufficient information to identify:

• the rights holder;

• the protected work;

• the allegedly infringing material;

• where the material appears on VEZILL;

• contact information;

• the basis of the complaint; and

• a statement that the complaint is submitted in good faith.

VEZILL may remove or restrict access to disputed content while investigating a complaint.

Users who repeatedly or seriously infringe intellectual-property rights may have their accounts suspended or terminated.

23. PRIVACY AND DATA PROTECTION

Personal information collected through VEZILL is handled in accordance with our Privacy Policy and applicable data-protection law.

Depending on the circumstances and jurisdiction, applicable laws may include the Kenya Data Protection Act, the EU General Data Protection Regulation (GDPR), the UK GDPR and other applicable privacy legislation.

Users should review the VEZILL Privacy Policy to understand how personal data is collected, used, shared, stored and protected and how applicable privacy rights may be exercised.

24. INTERNATIONAL USERS

VEZILL may be accessible internationally.

Users are responsible for complying with laws applicable to them.

However, nothing in these Terms is intended to deprive a consumer of mandatory rights available under the laws of the jurisdiction in which those rights legally apply.

This may include rights concerning:

• digital-content conformity;

• refunds and remedies;

• unfair commercial practices;

• privacy and data protection;

• electronic contracting; and

• consumer cancellation or withdrawal.

Where mandatory consumer law conflicts with these Terms, the mandatory legal requirement will prevail to the extent required by law.

25. NO GUARANTEE OF INCOME OR BUSINESS RESULTS

VEZILL provides tools and opportunities that may enable Users to create, sell, promote or resell Digital Products.

However, VEZILL does not guarantee:

• sales;

• customers;

• revenue;

• profit;

• employment;

• business success;

• search-engine rankings;

• social-media reach; or

• any particular financial outcome.

Results vary depending on factors including product quality, pricing, marketing, competition, market demand, individual effort and external economic conditions.

Any examples, testimonials, projections or case studies are illustrative and should not be interpreted as promises of future results.

26. EDUCATIONAL AND INFORMATIONAL CONTENT

Some products available through VEZILL provide educational, business, financial, health, technology, legal or other informational material.

Unless expressly stated otherwise, such material is provided for general educational or informational purposes and should not automatically be treated as personalised professional advice.

Users should seek appropriately qualified professional assistance where their circumstances require it.

27. THIRD-PARTY SERVICES

VEZILL may integrate with or link to third-party services, including:

• payment processors;

• analytics providers;

• cloud services;

• social networks;

• external websites; and

• other technology providers.

Third-party services may operate under their own terms and privacy policies.

VEZILL is not responsible for independent third-party services except to the extent responsibility cannot lawfully be excluded.

28. PLATFORM AVAILABILITY

VEZILL aims to maintain reliable Platform availability but does not guarantee uninterrupted operation.

Access may occasionally be interrupted by:

• maintenance;

• upgrades;

• technical failures;

• cybersecurity incidents;

• telecommunications failures;

• third-party outages;

• regulatory requirements; or

• circumstances beyond reasonable control.

Where practicable, VEZILL will take reasonable measures to restore affected services.

29. SUSPENSION AND TERMINATION

VEZILL may suspend, restrict or terminate accounts where reasonably necessary because of:

• serious or repeated violations of these Terms;

• fraud or attempted fraud;

• intellectual-property infringement;

• unlawful activity;

• security threats;

• payment abuse;

• sanctions or legal requirements; or

• material risks to Users or the Platform.

Where appropriate and legally permissible, VEZILL may provide notice or an opportunity to appeal.

Users may discontinue use of VEZILL or request account closure subject to outstanding transactions, disputes, legal retention requirements and other continuing obligations.

Termination does not automatically cancel rights lawfully acquired by previous purchasers.

30. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, VEZILL is provided on an "as available" basis.

VEZILL does not guarantee that every product supplied by an independent Seller will meet every User's expectations.

Creators and Sellers are responsible for representations they make concerning their products.

Nothing in these Terms excludes warranties, guarantees or consumer protections that cannot legally be excluded.

31. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, VEZILL will not be liable for indirect, incidental, special or consequential losses arising from use of the Platform where such liability may legally be excluded.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including liability that may arise from fraud, wilful misconduct or other non-excludable statutory obligations.

Users remain responsible for their own products, representations, conduct and violations of law.

32. INDEMNIFICATION

To the extent permitted by applicable law, a Creator, Seller or User agrees to indemnify VEZILL against third-party claims, losses or reasonable costs arising from that User's:

• unlawful content;

• intellectual-property infringement;

• fraudulent conduct;

• breach of these Terms; or

• violation of another person's legal rights.

This provision does not require consumers to waive mandatory statutory rights.

33. FORCE MAJEURE

VEZILL will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, war, civil unrest, widespread internet outages, government actions, major cybersecurity incidents, power failures or failures of critical third-party infrastructure.

This provision does not affect rights that cannot legally be excluded.

34. CHANGES TO THESE TERMS

VEZILL may update these Terms to reflect:

• changes to the Platform;

• new features;

• changes in business operations;

• legal or regulatory requirements;

• security requirements; or

• improvements to our policies.

The updated Terms will display a revised Last Updated date.

Where changes materially affect existing Users' rights or obligations, VEZILL may provide additional notice where reasonably appropriate or legally required.

Changes will not retroactively remove rights already accrued unless permitted by applicable law.

35. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws applicable to the entity operating VEZILL, subject to mandatory consumer-protection rights that may apply in a User's country of residence.

Users are encouraged to contact VEZILL first so that disputes can be resolved informally where possible.

If a dispute cannot be resolved informally, it may be referred to an appropriate court, tribunal, arbitration process or other dispute-resolution mechanism as permitted by applicable law.

Nothing in this section prevents a consumer from exercising mandatory rights to bring proceedings before a competent authority or court where applicable consumer law provides such a right.

36. SEVERABILITY

If any provision of these Terms is found unlawful, invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

37. NO WAIVER

Failure by VEZILL to enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.

38. ENTIRE AGREEMENT

These Terms, together with applicable VEZILL policies, product licences and transaction-specific terms, constitute the agreement governing use of the Platform.

Where a product-specific licence conflicts with these Terms concerning the permitted use or resale of that particular product, the product-specific licence will generally govern those product rights, subject to applicable law.

40. ACKNOWLEDGEMENT

By accessing or using VEZILL, creating an account, uploading a Digital Product, purchasing a Digital Product, or participating as a Creator, Seller or Reseller, you acknowledge that you have read and understood these Terms and agree to be bound by them, subject to any rights that cannot legally be waived.
